Leading law firm MinterEllison is proud to announce its role in advising Arrotex Pharmaceuticals (Arrotex), Australia’s leading generic pharmaceutical and private-label over-the-counter supplier, on two significant acquisitions, marking a strategic expansion into the health and beauty sector.
Led by healthcare entrepreneur Dennis Bastas, Arrotex has purchased Nude HoldCo and MakeUp Cartel Holdings for a combined value of approximately $55 million. Both companies have leading natural skin care brands and strong retail distribution partnerships. The acquisitions continue to expand Arrotex’s portfolio of natural skincare brands and products.
The MinterEllison M&A team, led by Jeremy Blackshaw, worked on all aspects of the transaction. They also drew upon MinterEllison specialists in tax, employment, IP, privacy and insurance.
The acquisition details include:
- Arrotex Pharmaceuticals’ purchase of the Nude by Nature brand from Nude Holdco Pty Limited. Nude by Nature, recognised for its ‘clean beauty’ ethos, leverages 100% natural ingredients and a commitment to cruelty-free products. The deal encompasses partnerships with major retailers including Priceline, Chemist Warehouse, Myer, Target, and Big W.
- The acquisition of MakeUp Cartel Holdings Pty Ltd, bringing in skincare and makeup brands such as esmi Skin Minerals, PONi Cosmetics, Lip Heroes, and Sun Skills. These brands align with cruelty-free, vegan-friendly, and skin-healthy principles. The agreement includes significant trade and collaboration with Sephora.
Arrotex, founded by Dennis Bastas, holds a substantial share of Australia’s generic pharmacy market. The company’s portfolio includes the Chemists Own brand, with over 300 generic and branded products across various categories.
